Terms of Service

By using this website or engaging Evolve Local AI for services, you agree to these terms. If you do not agree, please do not use the site. Specific project scope, timelines, deliverables, and pricing are defined in written project agreements, which control if they conflict with these terms.

Our services

Evolve Local AI provides AI implementation services for businesses, including AI assistants, website chatbots, workflow automation, reporting, website work, and voice/phone AI capabilities. Some capabilities described on this site are in active development and are labeled accordingly.

AI output and human review

AI systems can make mistakes, produce inaccurate or incomplete output, or behave unexpectedly. You are responsible for reviewing and approving automated actions and AI-generated output before relying on it. In particular, AI-generated output should be reviewed by a person before it is used for important business, legal, financial, medical, employment, or customer decisions. We configure guardrails and human-approval checkpoints for high-impact actions, but we do not guarantee that an AI system will always produce accurate results.

Client responsibilities

  • Provide lawful, authorized access to the systems, accounts, and data needed for your project.
  • Review and approve automated workflows, messages, and actions before and during production use.
  • Confirm that your use of automated calling, messaging, recording, and data processing complies with applicable laws and platform rules (for example telemarketing, call-recording, and privacy laws).
  • Obtain any consents required from your own customers or contacts.
  • Test and monitor automated systems and report issues promptly.

Third-party software and platforms

Our solutions rely on third-party software, AI model providers, hosting, telephony, and platform APIs. Those services have their own terms, pricing, and limitations, and they may change or discontinue features outside our control. We are not responsible for third-party outages, policy changes, or pricing changes, though we will work with you to adapt when they occur.

Service availability

We aim for reliable operation but do not guarantee uninterrupted availability of this website, hosted systems, or AI-powered features. Maintenance windows, provider outages, and network issues can cause downtime.

Fees and payment

Pricing shown on this site is starting-at pricing only; final pricing is provided in writing before project start. Third-party costs such as API usage, hosting, phone numbers, software licenses, and hardware may be billed separately as described in your project agreement. Recurring management fees are billed monthly. Payment terms, including due dates and late-payment handling, are set in the project agreement.

Cancellation and termination

Monthly services may be cancelled per the notice terms in your project agreement. Either party may terminate an engagement for material breach that is not cured within a reasonable period after written notice. Fees for work already performed remain payable. On termination we will reasonably assist with transition, including returning client data as described below.

Ownership

Your business data remains yours. Upon full payment, custom workflows, configurations, and deliverables built specifically for you are yours to use, subject to any third-party license terms. Each party retains ownership of its pre-existing intellectual property, and we retain ownership of our general methods, tools, and know-how.

Confidentiality

Each party will protect the other’s non-public business information and use it only for the engagement, except where disclosure is required by law.

Limitation of liability

To the maximum extent permitted by law, Evolve Local AI is not liable for indirect, incidental, special, or consequential damages, or for losses arising from AI output errors, third-party service failures, or unauthorized use of delivered systems. Our total liability for any claim is limited to the fees paid for the services giving rise to the claim in the twelve months preceding the claim.

Indemnification

You agree to indemnify Evolve Local AI against third-party claims arising from your unlawful use of delivered systems, your failure to obtain required consents, or your breach of these terms.

Prohibited uses

You may not use this website or our services for unlawful purposes, including unlawful robocalls or unsolicited messaging, recording calls without required consent, harassment, fraud, or violating others’ privacy or intellectual-property rights.

Governing law

These terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law rules. Venue for disputes lies in the state or federal courts located in Pennsylvania.

Changes

We may update these terms from time to time; the effective date above reflects the latest revision.
